Investment and Company Structures: Making Sense of the Alphabet Soup

It’s easy to get jumbled with SAFEs, KISSs, as well as LLCs, S and C Corps.  Investment and company structures are fundamental to angel investment returns, so it is critical to make sense of the instruments and entity forms, helping you manage risk for long term gain.  This program will focus on understanding the differences across investment vehicles, including convertible debt and priced equity rounds, and on considering the implications for each from an upside and exposure level.  Time will also be given to understanding the underlying structure of prospective portfolio companies and how entity forms might affect angel returns.  The degree to which angel investors can influence the forms may vary from situation to situation, but the ability to clearly understand the structures can help angels enter any given deal with a more complete view.
